Foreign qualification is state registration of an LLC that was formed elsewhere. Whether it is required depends on the second state’s law and the company’s activities there, not merely on having customers in that state.
Foreign does not mean international
For state entity law, an LLC is domestic in its formation state and foreign in other states.
Map the activity
Physical presence, employees, offices, repeated in-person work, property, revenue concentration, and other contacts can matter. Each state defines doing business for its own purposes.
Expect a second compliance track
Registration may bring a registered agent, periodic reports, fees, tax accounts, licenses, and withdrawal steps when activity ends.
Coordinate tax and employment analysis
Entity qualification, tax nexus, payroll registration, unemployment, workers’ compensation, sales tax, and licensing are related but not identical questions.
