The short answer

Adding a member is a transaction, not a name edit. Define what the new member contributes and receives, approve the admission correctly, update the operating agreement and ownership ledger, and coordinate tax, banking, state, license, contract, and insurance effects.

Define the deal

Clarify cash, property, services, intellectual property, percentage or units, voting, distributions, vesting, restrictions, information rights, and effective date.

Value what changes hands

Existing value, tax basis, built-in gain, profits interests, service contributions, and dilution can create consequences that a simple percentage misses.

Approve and document

Follow the existing agreement and state law, then sign the admission documents, amended agreement, consents, and updated ledger before money or control changes.

Update the operating system

Coordinate tax classification, bank signers, accounting, payroll, licenses, insurance, contracts, guarantees, and any state filing.
